Article 16. Governmental function. Decision making. Division of labour. 1. Subject to the limitations according to the statutes the Executive Board is responsible for driving the company. In the performance of their duties, the directors themselves to the interests of the company and its subsidiary company. 2. the Executive Board shall act by an absolute majority of the votes cast. Each Director has the right to one vote. Blank votes count if not released. The Management Board may adopt a regulation which detailed rules are given as to the decision making of the Executive Board. 3. The Management Board may determine at a division of labour with which task each Director in particular will be taxed. 4. A Director may by a fellow Director at written power do represent. A Director can for no more than one Co-Director as Plenipotentiary occur.5. Decision making by the Management Board may otherwise than in a meeting take place, provided that in writing and by the unanimous vote of all-in sitting directors, in respect of whom no conflict of interest-as referred to in paragraph 6 of this article.5. each Director is held a (potential) conflict of interest between him and to report immediately to the Board of the company. A Director shall not take part in the deliberation and decision-making within the Directorate if he has a direct or indirect personal interest that contradictory to the interests of the company and her- associated company. In this case the decision is taken by the other directors. If all directors have a conflict of interest as referred to above, the Executive Board, consisting of all directors, competent to take decisions with regard to the provisions of paragraph 2 of this article.
